Questions about these Terms: [email protected]
1. Who we are
MegaSocial is a social media operations platform for scheduling, publishing, engagement, analytics, and related marketing tools. We provide the Service as a software provider for the accounts and projects you manage.
2. Eligibility and accounts
You must be able to form a binding contract and meet any minimum age required in your jurisdiction (and not be under 16 where that higher threshold applies). You are responsible for the accuracy of your account information, for keeping your login credentials confidential, and for all activity under your account. Notify us promptly if you suspect unauthorized access.
3. The Service
MegaSocial may include tools for content planning, scheduling and publishing, engagement (comments/DMs), analytics, SEO-related features, AI-assisted content generation, and integrations with third-party platforms you connect. Features may change over time. We may modify, suspend, or discontinue parts of the Service with reasonable notice where practicable.
4. Your content and intellectual property
- Your content — You retain ownership of posts, drafts, media, brand materials, and other content you submit to MegaSocial (“Your Content”). You grant us a limited licence to host, process, transmit, and display Your Content solely to operate and improve the Service as you direct (for example publishing to platforms you connect).
- Our IP — MegaSocial, its software, branding, and documentation remain our property. You may not copy, reverse engineer, or resell the Service except as allowed by law or a separate written agreement.
- Responsibility — You warrant that you have the rights needed for Your Content and that it does not infringe others’ rights or violate applicable law or platform rules.
5. Connected social and third-party platforms
When you connect LinkedIn, Meta/Facebook/Instagram, Threads, YouTube, Pinterest, Google Business, Buffer, or similar services, you authorize MegaSocial to access and use those APIs within the permissions you grant. Your use of those platforms remains subject to their terms and policies. We are not responsible for outages, API changes, account suspensions, or actions taken by third-party platforms. Revoking access in MegaSocial or in the platform’s settings stops future API access.
6. Acceptable use
You agree not to use the Service to:
- Violate laws, regulations, or third-party platform rules
- Publish spam, malware, deceptive, or harmful content
- Infringe intellectual property, privacy, or other rights
- Attempt unauthorized access, disrupt, or overload the Service or related systems
- Misrepresent your identity or affiliation in a misleading way
- Resell or provide the Service to third parties without our written consent
We may suspend or terminate accounts that we reasonably believe violate these Terms or create risk for MegaSocial, other users, or the public.
7. AI features
Some features use artificial intelligence to generate or assist with content at your request. AI output may be inaccurate, incomplete, or unsuitable. You are responsible for reviewing and approving content before publishing. We do not use your connected social account content to train public AI models for unrelated third parties. Use of AI features may consume credits or plan allowances as described in the product.
8. Subscriptions, credits, and billing
Paid plans, credits, and fees are described on our pricing pages or in-product. Payments are processed by our payment provider (e.g. Stripe); we do not store full card numbers on our servers. Subscriptions renew according to the plan you select until cancelled. Unless required by law or stated otherwise at purchase, fees are non-refundable. You are responsible for applicable taxes. We may change pricing with notice for future billing periods.
9. Privacy
How we collect and use personal information is described in our Privacy Policy, which forms part of your agreement with us.
10. Confidentiality and security
You must protect credentials and API keys associated with your account and connected services. We use industry-standard measures to protect the Service, but no method of transmission or storage is completely secure. You use the Service at your own risk regarding residual security risk.
11. Disclaimers
The Service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation, or that publishing to third-party platforms will always succeed.
12. Limitation of liability
To the fullest extent permitted by law, MegaSocial and its operators are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our aggregate liability arising from these Terms or the Service is limited to the greater of (a) the amounts you paid us for the Service in the three months before the claim, or (b) NZD $100. Nothing in these Terms excludes liability that cannot be limited under New Zealand law.
13. Indemnity
You will defend and indemnify MegaSocial against claims, damages, and expenses arising from Your Content, your use of the Service, your connected accounts, or your breach of these Terms or applicable law, except to the extent caused by our wilful misconduct.
14. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate access for breach of these Terms, non-payment, or to protect the Service. After termination, provisions that by their nature should survive (including IP, disclaimers, limitation of liability, and indemnity) will continue to apply. Data handling after closure is described in our Privacy Policy and data-removal help.
15. Changes to these Terms
We may update these Terms from time to time. The “Last updated” date at the top will change when we do. Continued use of the Service after an update constitutes acceptance of the revised Terms where permitted by law. If you do not agree, stop using the Service.
16. Governing law
These Terms are governed by the laws of New Zealand. Courts in New Zealand have exclusive jurisdiction, subject to any mandatory consumer protections that apply in your location.
